Allgemeine Geschäftsbedingungen
1. Geltungsbereich
Für alle Bestellungen über unseren eBay-Shop durch Verbraucher und Unternehmer gelten die nachfolgenden AGB.
Verbraucher ist jede natürliche Person, die ein Rechtsgeschäft zu Zwecken abschließt, die überwiegend weder ihrer gewerblichen noch ihrer selbständigen beruflichen Tätigkeit zugerechnet werden können. Unternehmer ist eine natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft, die bei Abschluss eines Rechtsgeschäfts in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit handelt.
Gegenüber Unternehmern gilt: Verwendet der Unternehmer entgegenstehende oder ergänzende Allgemeine Geschäftsbedingungen, wird deren Geltung hiermit widersprochen; sie werden nur dann Vertragsbestandteil, wenn wir dem ausdrücklich zugestimmt haben.
2. Vertragspartner, Vertragsschluss, Korrekturmöglichkeiten
2.1 Vertragspartner
Der Kaufvertrag kommt zustande mit LEDs Com GmbH.
2.2 Vertragsschluss
Wenn wir ein Produkt im Auktions- oder Festpreisformat einstellen, geben wir ein verbindliches Angebot zum Abschluss eines Vertrags über dieses Produkt ab. Dabei bestimmen wir den Start- bzw. Festpreis und die Angebotsdauer, also die Frist, binnen derer das Angebot angenommen werden kann. Weitere Informationen zum Vertragsschluss finden Sie bei den einzelnen Formaten:
Auktionsformat
Legen wir beim Auktionsformat einen Mindestpreis fest, so steht das Angebot unter der aufschiebenden Bedingung, dass der Mindestpreis erreicht wird.
Angebote im Auktionsformat können wir zusätzlich mit einer Sofort-Kaufen-Funktion versehen, die Sie ausüben können, solange noch kein Gebot auf das Produkt abgegeben oder der Mindestpreis noch nicht erreicht wurde.
Beim Auktionsformat nehmen Sie das Angebot durch Abgabe eines Gebots an. Die Annahme erfolgt unter der aufschiebenden Bedingung, dass Sie nach Ablauf der Angebotsdauer Höchstbietender sind. Ihr Gebot erlischt, wenn ein anderer Käufer während der Angebotsdauer ein höheres Gebot abgibt.
Festpreisformat
Wenn wir Produkte im Festpreisformat einstellen, geben wir ein verbindliches Angebot zum Abschluss eines Vertrags über dieses Produkt ab.
Sie nehmen das Angebot an, indem Sie den Button „Sofort-Kaufen“ anklicken und anschließend bestätigen. Bei Festpreisartikeln, bei denen wir die Option „Sofortige Bezahlung“ ausgewählt haben, nehmen Sie das Angebot an, indem Sie den Button „Sofort-Kaufen“ anklicken und den unmittelbar nachfolgenden Zahlungsvorgang abschließen. Sie können Angebote für mehrere Produkte auch dadurch annehmen, dass Sie die Produkte (sofern verfügbar) in den Warenkorb legen und den unmittelbar anschließenden Zahlungsvorgang abschließen.
Option Preisvorschlag
Wenn in einem unserer Angebote unter dem Sofort-Kaufen-Preis die Schaltfläche „Preisvorschlag senden“ angezeigt wird, können Sie uns einen Preis vorschlagen, zu dem Sie das Produkt kaufen würden. Wir können Ihren Preisvorschlag akzeptieren, ihn ablehnen oder ein Gegenangebot unterbreiten. Wenn Sie uns einen Preisvorschlag unterbreiten, geben Sie ein verbindliches Angebot zum Abschluss eines Vertrags über dieses Produkt zu dem von Ihnen vorgeschlagenen Preis ab. Ihr Preisvorschlag ist höchstens 48 Stunden lang oder bis zum Angebotsende gültig, je nachdem, welcher Zeitpunkt zuerst erreicht wird. Nehmen wir ihn an, kommt ein verbindlicher Vertrag zustande. Der Preisvorschlag bezieht sich grundsätzlich nur auf den Preis für das angebotene Produkt.
2.3 Korrekturmöglichkeiten
Sie können Ihre Eingaben vor Abgabe der Bestellung mittels der von eBay im Bestellprozess zur Verfügung gestellten und selbsterklärenden Mittel erkennen und korrigieren. Um eine Transaktion abzubrechen, betätigen Sie die „Zurück“-Schaltfläche Ihres Browsers, um wieder auf die Artikelseite oder zum eBay-Warenkorb zu gelangen. Im Warenkorb können Sie durch Änderung der Stückzahl die Menge der Produkte ändern bzw. durch Klick auf „Entfernen“ den Artikel aus dem Warenkorb löschen. Eingabefehler können auch durch Abbruch des Kaufvorgangs korrigiert werden.
3. Vertragssprache, Vertragstextspeicherung

Wir speichern den Vertragstext auf unseren Systemen, die jedoch für Sie nicht zugänglich sind. Über Ihren eBay-Account haben Sie jedoch unter „Mein eBay“ die Möglichkeit, Ihre letzten Bestellungen einzusehen. Der vollständige Vertragstext ist dort nicht zugänglich.
4. Vertragsgegenstand
4.1 Produktbeschreibung
Auf die Geltung der jeweiligen Produktbeschreibung als wesentlicher Bestandteil des Vertrages wird hingewiesen.
4.2 Produktbilder
Unbeschadet Ihrer gesetzlichen Gewährleistungsrechte möchten wir Sie auf die nachfolgenden Besonderheiten hinweisen. Bei Unsicherheiten setzen Sie sich bitte mit uns in Verbindung:
Aufgrund individueller Bildschirmkonfigurationen (z.B. Auflösung und Helligkeit) sind geringfügige Abweichungen zwischen den dargestellten und den tatsächlichen Produktfarben möglich.
Bei Holzprodukten sind natürliche Abweichungen hinsichtlich Maserung, Struktur und Farbe des Holzes möglich.
5. Lieferbedingungen

Wir versenden die Produkte an die im Bestellprozess angegebene Lieferadresse.
Wir liefern nur im Versandweg. Eine Selbstabholung der Ware ist leider nicht möglich.
6. Bezahlung
6.1 Preise
Es gelten die zum Zeitpunkt der Bestellung angegebenen Preise. Diese sind Gesamtpreise und enthalten die gesetzliche Mehrwertsteuer.

In unserem Shop stehen Ihnen grundsätzlich die nachfolgenden Zahlungsarten zur Verfügung. Die Zahlung wird durch eBay abgewickelt:
PayPal

Lastschrift (via PayPal)
Die Zahlung per Lastschrift (PayPal) setzt eine Adress- und Bonitätsprüfung voraus und erfolgt direkt an PayPal. Mit Bestätigung der Zahlungsanweisung erteilen Sie PayPal ein Lastschriftmandat. Über das Datum der Kontobelastung werden Sie von PayPal informiert (sog. Prenotification).
Apple Pay
Um den Rechnungsbetrag über den Zahlungsdienstleister Apple Inc., One Apple Park Way, Cupertino, CA 95014, USA („Apple“) bezahlen zu können, müssen Sie den Browser „Safari“ nutzen, bei Apple registriert sein, die Funktion Apple Pay aktiviert haben, sich mit Ihren Zugangsdaten legitimieren und die Zahlungsanweisung bestätigen. Kreditkarte

In Zusammenarbeit mit ebay und dem Zahlungsdienstleister Klarna Bank AB (publ.), Sveavägen 46, 111 34 Stockholm, Schweden („Klarna“) werden die nachfolgenden Zahlungsoptionen angeboten. Die Zahlung über Klarna ist nur für Verbraucher verfügbar. Sofern nachfolgend nichts anderes geregelt ist, setzt die Zahlung über Klarna eine erfolgreiche Adress- und Bonitätsprüfung voraus und sie erfolgt direkt an Klarna.
Klarna kann registrierten und nach eigenen Kriterien ausgewählten Klarna-Kunden weitere Zahlungsmodalitäten im Kundenkonto anbieten. Auf das Anbieten dieser Modalitäten haben wir allerdings keinen Einfluss; weitere individuell angebotene Zahlungsmodalitäten betreffen Ihr Rechtsverhältnis mit Klarna. Kauf auf Rechnung über Klarna
Der Rechnungsbetrag ist zwischen 14-30 Tagen nach Versand der Ware und Erhalt der Rechnung fällig. Bitte entnehmen Sie das konkrete Zahlungsziel Ihrer Rechnung.
Ratenkauf über Klarna
Sie können den Rechnungsbetrag in monatlichen Raten von mindestens 1/24 des Gesamtbetrages bezahlen. Die Höhe der Mindestrate beträgt 6,95 Euro.
Sofort by Klarna
Um den Rechnungsbetrag über den Zahlungsdienstleister Sofort GmbH, Theresienhöhe 12, 80339 München bezahlen zu können, müssen Sie über ein für Online-Banking freigeschaltetes Bankkonto verfügen, sich entsprechend legitimieren und die Zahlungsanweisung bestätigen. Ihr Konto wird unmittelbar nach Abgabe der Bestellung belastet. Weitere Hinweise erhalten Sie im Bestellvorgang.
7. Widerrufsrecht
Verbrauchern steht das gesetzliche Widerrufsrecht, wie in der Widerrufsbelehrung beschrieben, zu. Unternehmern wird kein freiwilliges Widerrufsrecht eingeräumt.
8. Eigentumsvorbehalt
Das Produkt bleibt bis zur vollständigen Bezahlung unser Eigentum.
Für Unternehmer gilt ergänzend: Wir behalten uns das Eigentum an dem Produkt bis zur vollständigen Begleichung aller Forderungen aus einer laufenden Geschäftsbeziehung vor. Sie dürfen die Vorbehaltsware im ordentlichen Geschäftsbetrieb weiterveräußern; sämtliche aus diesem Weiterverkauf entstehenden Forderungen treten Sie – unabhängig von einer Verbindung oder Vermischung der Vorbehaltsware mit einer neuen Sache - in Höhe des Rechnungsbetrages an uns im Voraus ab, und wir nehmen diese Abtretung an. Sie bleiben zur Einziehung der Forderungen ermächtigt, wir dürfen Forderungen jedoch auch selbst einziehen, soweit Sie Ihren Zahlungsverpflichtungen nicht nachkommen. Die uns zustehenden Sicherheiten werden wir auf Ihr Verlangen insoweit freigeben, als der realisierbare Wert der Sicherheiten den Wert der offenen Forderungen um mehr als 10 % übersteigt.
9. Transportschäden
Für Verbraucher gilt: Werden Waren mit offensichtlichen Transportschäden angeliefert, so reklamieren Sie solche Fehler bitte möglichst sofort beim Zusteller und nehmen Sie bitte unverzüglich Kontakt zu uns auf. Die Versäumung einer Reklamation oder Kontaktaufnahme hat für Ihre gesetzlichen Ansprüche und deren Durchsetzung, insbesondere Ihre Gewährleistungsrechte, keinerlei Konsequenzen. Sie helfen uns aber, unsere eigenen Ansprüche gegenüber dem Frachtführer bzw. der Transportversicherung geltend machen zu können.
10. Datensicherung
Sie sind zur ordnungsgemäßen und regelmäßigen Sicherung Ihrer Daten verantwortlich. Bei Schäden aus dem Verlust von Daten, haften wir nicht, soweit Sie den Datenverlust durch eine regelmäßige und vollständige Datensicherung hätten vermeiden können.
Die vorstehende Einschränkung gilt nicht für Ansprüche aufgrund von Schäden, die durch uns, unsere gesetzlichen Vertreter oder Erfüllungsgehilfen verursacht wurden
bei Verletzung des Lebens, des Körpers oder der Gesundheit
bei vorsätzlicher oder grob fahrlässiger Pflichtverletzung sowie Arglist
bei Verletzung wesentlicher Vertragspflichten, deren Erfüllung die ordnungsgemäße Durchführung des Vertrages überhaupt erst ermöglicht und auf deren Einhaltung der Vertragspartner regelmäßig vertrauen darf (Kardinalpflichten)
im Rahmen eines Garantieversprechens, soweit vereinbart, oder
soweit der Anwendungsbereich des Produkthaftungsgesetzes eröffnet ist.
11. Gewährleistung und Garantien
11.1 Mängelhaftungsrecht
Soweit nicht nachstehend ausdrücklich anders vereinbart, gilt das gesetzliche Mängelhaftungsrecht.
Die nachstehenden Einschränkungen und Fristverkürzungen gelten nicht für Ansprüche aufgrund von Schäden, die durch uns, unsere gesetzlichen Vertreter oder Erfüllungsgehilfen verursacht wurden
bei Verletzung des Lebens, des Körpers oder der Gesundheit
bei vorsätzlicher oder grob fahrlässiger Pflichtverletzung sowie Arglist
bei Verletzung wesentlicher Vertragspflichten, deren Erfüllung die ordnungsgemäße Durchführung des Vertrages überhaupt erst ermöglicht und auf deren Einhaltung der Vertragspartner regelmäßig vertrauen darf (Kardinalpflichten)
im Rahmen eines Garantieversprechens, soweit vereinbart, oder
soweit der Anwendungsbereich des Produkthaftungsgesetzes eröffnet ist.
Beschränkungen gegenüber Unternehmern
Gegenüber Unternehmern gelten als Vereinbarung über die Beschaffenheit der Ware nur unsere eigenen Angaben und die Produktbeschreibungen des Herstellers, die in den Vertrag einbezogen wurden; für öffentliche Äußerungen des Herstellers oder sonstige Werbeaussagen übernehmen wir keine Haftung. Für Unternehmer beträgt die Verjährungsfrist für Mängelansprüche bei neu hergestellten Sachen ein Jahr ab Gefahrübergang. Der vorige Satz gilt nicht bei einer Sache, die entsprechend ihrer üblichen Verwendungsweise für ein Bauwerk verwendet worden ist und dessen Mangelhaftigkeit verursacht hat.
Die gesetzlichen Verjährungsfristen für den Rückgriffsanspruch nach § 445a BGB bleiben unberührt.
Hinweis gegenüber Kaufleuten
Unter Kaufleuten gilt die in § 377 HGB geregelte Untersuchungs- und Rügepflicht. Unterlassen Sie die dort geregelte Anzeige, so gilt die Ware als genehmigt, es sei denn, dass es sich um einen Mangel handelt, der bei der Untersuchung nicht erkennbar war. Dies gilt nicht, falls wir einen Mangel arglistig verschwiegen haben.

12. Haftung
Für Ansprüche aufgrund von Schäden, die durch uns, unsere gesetzlichen Vertreter oder Erfüllungsgehilfen verursacht wurden, haften wir stets unbeschränkt
• bei Verletzung des Lebens, des Körpers oder der Gesundheit
• bei vorsätzlicher oder grob fahrlässiger Pflichtverletzung
• bei Garantieversprechen, soweit vereinbart, oder
• soweit der Anwendungsbereich des Produkthaftungsgesetzes eröffnet ist.
Bei Verletzung wesentlicher Vertragspflichten, deren Erfüllung die ordnungsgemäße Durchführung des Vertrages überhaupt erst ermöglicht und auf deren Einhaltung der Vertragspartner regelmäßig vertrauen darf, (Kardinalpflichten) durch leichte Fahrlässigkeit von uns, unseren gesetzlichen Vertretern oder Erfüllungsgehilfen ist die Haftung der Höhe nach auf den bei Vertragsschluss vorhersehbaren Schaden begrenzt, mit dessen Entstehung typischerweise gerechnet werden muss.
Im Übrigen sind Ansprüche auf Schadensersatz ausgeschlossen.
13. Streitbeilegung
Die Europäische Kommission stellt eine Plattform zur Online-Streitbeilegung (OS) bereit, die Sie hier finden: https: ec.europa.eu/consumers/odr.
Wichtiger Hinweis: Die Plattform zur Online-Streitbeilegung (OS) wird zum 20.7.2025 endgültig eingestellt. Die Einreichung von Beschwerden auf der OS-Plattform wird daher bereits am 20.3.2025 eingestellt. Zur Teilnahme an einem Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle sind wir nicht verpflichtet und nicht bereit.
14. Schlussbestimmungen
Sind Sie Unternehmer, dann gilt deutsches Recht unter Ausschluss des UN-Kaufrechts.
Sind Sie Kaufmann im Sinne des Handelsgesetzbuches, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen, ist ausschließlicher Gerichtsstand für alle Streitigkeiten aus Vertragsverhältnissen zwischen uns und Ihnen unser Geschäftssitz.
Sollten einzelne Klauseln dieser AGB ganz oder teilweise unwirksam sein, so bleibt der Vertrag im Übrigen wirksam. Soweit einzelne Klauseln unwirksam sind, richtet sich der Inhalt des Vertrags nach den gesetzlichen Vorschriften.

1. Scope
The following Terms and Conditions apply to all orders placed via our eBay shop.
These Terms and Conditions also apply to businesses for future commercial relations without the need for any formal expression thereof. Unless expressly approved by us to the contrary, we cannot accept the contractual validity of any conflicting or complementary general terms and conditions used by any business.
2. Contractual partner, formation of contract, options for corrections
2.1 Contractual partner
The contract is concluded with LEDs Com GmbH.
2.2 Formation of contract
Auction format
If we place a product in the auction or fixed-price format, we are making a binding offer to conclude a contract for that product. We determine the starting/fixed price and the duration of the offer, i.e. the time period within which the offer may be accepted. If we set a minimum price in the auction format, the offer will be subject to the condition precedent of the minimum price being reached.
We may additionally provide offers in an auction format with a buy-now function, which you may use as long as no bid has been made yet on the article or the minimum price has not been reached yet.
For auctions, you accept the offer by placing a bid. The acceptance takes place subject to the condition precedent that you are the highest bidder after the end of the offer period. Your offer lapses if another buyer places a higher bid during the term of the offer.
Fixed-price format
If we place an article in the fixed-price format, we are making a binding offer to form a contract for that product.
You accept the offer by clicking on the “Buy It Now” button and then confirming finally. With fixed-price products, for which we have selected the “Immediate payment” option, you accept the offer by clicking on the “Buy It now” button and completing the subsequent payment process. You may also accept offers for several products by (if available) placing the products in the shopping cart and completing the subsequent payment process.
Best offer option
If the “Make offer” button is available in one of our offers under the Buy It Now price, you may offer a price to us, at which you would buy the product. We may accept, reject or make a counter-offer to your offer. If you make a price offer, you are providing a binding offer to conclude a contract for this product at the price that you have suggested. Your price offer is valid for 48 hours or until the end of the offer, depending on which is reached first. If we accept, a binding contract is concluded. The price offer basically only applies to the price for the offered product.
2.3 Correction options
Before submitting your order you may identify and correct your entries by means of the self-explanatory tools that eBay provides in the ordering process. To cancel a transaction, use the “back” button of your browser in order to get back to the article page or to the ebay shopping basket. In the shopping basket you change the quantity of the products by amending the number of items or delete the article from the basket by clicking on “remove”. Input errors can also be corrected by cancelling the purchase process.

We save the text of the contract on our system, which is however not accessible for you.
However, you have the opportunity to view your previous orders via your eBay account at My eBay . The complete text of the contract will not be accessible there.
4. Delivery conditions
Delivery options
We ship the products to the delivery address specified in the order process.
We only dispatch goods en route; pick up by the customer is not possible.
5. Payment
The following payment methods are basically available in our eBay-shop. The payment is managed by eBay:
PayPal

Direct debit via PayPal
Precondition for payment by direct debit via PayPal is an address and credit check, the payment is made directly to PayPal. By confirming the payment instruction, you grant PayPal a direct debit mandate. You will be informed by PayPal about the date your account is charged (so-called prenotification).
Apple Pay
In order to pay the invoice amount via the payment service provider Apple Inc., One Apple Park Way, Cupertino, CA 95014, USA ( Apple ), you must use the Safari browser, be registered with Apple, have activated the Apple Pay function, legitimise yourself with your access data and confirm the payment instruction. Google Pay
To pay the invoice amount via Google Pay, you must be registered with the service provider Google. You must have activated the Google Pay function, identify yourself with your access data and confirm the payment instruction. Credit card
When you place your order, you provide your credit card details. After your legitimation as a legitimate cardholder, the payment transaction will be carried out automatically and your card will be charged.
Klarna

7. Retention of title
The product shall remain our property until full payment is made.

8. Damage during delivery

Restrictions in relation to businesses
In relation to businesses, only our own specifications and the manufacturer s product descriptions included in the contract shall be deemed to be an agreement on the quality of the goods; we shall not accept any liability for public statements made by the manufacturer or other advertising statements. For businesses, the limitation period for claims for defects in newly manufactured goods is one year from the transfer of risk. The previous sentence does not apply to an item that has been used for a building in accordance with its customary use and has caused the building to be defective. The sale of used goods is subject to the exclusion of any warranty. The statutory limitation periods for the right of recourse according to § 445a BGB (German Civil Code) remain unaffected.

Among merchants ( Kaufleute ), the obligation to examine and give notice of defects regulated in § 377 HGB (German Commercial Code) shall apply. If you fail to give notice as regulated therein, the goods shall be deemed to have been approved, unless the defect was not recognisable during the inspection. This does not apply if we have fraudulently concealed a defect.
